State Licensed Assistant General Counsel

Job Summary

A company is looking for an Assistant General Counsel Governance and Securities.

Key Responsibilities

• Prepare and review SEC filings and assist with the Annual Shareholder Meeting
• Maintain corporate governance policies and advise the board and its committees
• Provide support for corporate and capital markets transactions and manage outside counsel

Required Qualifications

• J.D. from an accredited law school
• Licensed to practice law in the relevant state
• 12+ years of relevant legal experience, including law firm and public company experience
• Significant experience with public company financial reporting rules and regulations
• Experience supporting a public company board of directors
