New York Licensed Associate General Counsel

Job Summary

A company is looking for an Associate General Counsel, Securities & M&A.

Key Responsibilities

• Advise on U.S. federal securities law compliance and prepare SEC filings
• Serve as lead attorney on domestic and international M&A transactions, including deal structuring and negotiation
• Coordinate with internal teams and manage outside counsel for compliance and transaction support

Required Qualifications

• J.D. from an accredited law school and admission to practice in at least one state bar
• Minimum of 7 years of experience in U.S. securities laws and M&A transactions
• Deep knowledge of corporate governance and M&A processes
• Experience in the technology sector and intellectual property transactions is a plus
• Ability to manage multiple deals and collaborate effectively with cross-functional teams
