Job Summary
A company is looking for an Associate General Counsel, Securities & M&A.
Key Responsibilities
- Advise on U.S. federal securities law compliance and prepare SEC filings
- Serve as lead attorney on domestic and international M&A transactions, managing deal structuring and negotiations
- Coordinate with internal teams and external advisors to ensure compliance and support corporate transactions
Required Qualifications
- J.D. from an accredited law school and admission to practice in at least one state bar
- Minimum of 7 years of experience in U.S. securities laws and M&A, preferably in a top law firm or a mix of law firm and in-house roles
- Deep knowledge of U.S. securities laws, M&A transactions, and corporate governance
- Experience in the technology sector and intellectual property transactions is a strong plus
- Ability to manage multiple deals and collaborate effectively with cross-functional teams
