State Licensed Commercial Counsel

Job Summary

A company is looking for a Commercial Counsel to support its fast-growing SaaS organization.

Key Responsibilities

• Draft, review, and negotiate complex commercial contracts including MSAs, SaaS agreements, and procurement/vendor agreements
• Coordinate and drive follow-up on cross-functional inquiries related to contract review
• Identify legal risks and provide strategic guidance to senior management to mitigate them

Required Qualifications

• Juris Doctor (JD) degree from an accredited law school
• Active license to practice law and in good standing with a state bar
• 5+ years' experience in complex enterprise software contract negotiations
• Experience with international contracts and cross-border legal issues
• Meaningful experience in software licensing, information security, and compliance frameworks
